The forms a company is actually papered with
The documents a Delaware C-corp is formed with, and the ones a round is papered with, as blank files — free to download, no sign-up, no email. The incorporation set is this practice’s own drafting, given away. The SAFEs and the Series A set are the industry-standard forms their publishers make openly available, served unmodified. Each one shows you its structure before you download it.
Pick a form
The documents a Delaware C-corp is actually formed with: the charter, the consents that appoint a board and adopt bylaws, and the founder stock and IP paper that has to exist before the company owns anything. Blank forms — filing them is your own business, and nothing here is advice on your facts.
Certificate of Incorporation
Carver Esq. drafting, published free. Fill it in and use it. A blank form is not legal advice, and downloading one creates no attorney-client relationship. Terms of use
.docx — blank, unmodified
This one has no article structure to draw — it is short enough to read end to end.
What this is, and what it is not
Every file here is a blank form. Nothing is filled in, nothing is collected about you, and nothing is tailored to your deal. Downloading one does not make Eric Adar Carver your lawyer and does not create an attorney-client relationship.
A form is not advice. Which documents you need, in what order, what the blanks should say, and what the deal points cost you are the parts that take judgement — and the parts a form cannot supply. An incorporation is a sequence, not a folder: the consents assume the charter is filed, the stock paper assumes the board exists, and a set signed out of order is a set that has to be redone. The SAFE, separately, is short enough to feel safe and dilutive enough to be worth modelling before signing.
The incorporation set is this practice’s own drafting, published free. That it is the attorney’s own paper changes nothing about the paragraph above: a blank form handed to a stranger is not advice on that stranger’s facts, because there are no facts in it. Eric Adar Carver is admitted in California only, and these are Delaware corporate forms — filing them is your own business.
The SAFEs and the Series A set are published by Y Combinator and the National Venture Capital Association, not by this practice, and are served here exactly as published. The YC SAFEs are licensed CC BY-ND: use them and fill them in freely, but do not publish a modified version.
If you want the judgement part
Eric Adar Carver is admitted to practice in California only. If you want these documents prepared for an actual company or an actual round — the right set, filled in, in the right order, with the deal points explained before you sign them — that is an engagement, and it starts with a conversation.
